appraiser, engineers, consultants and other team members working
on this specific real estate development enterprise. All other
and non-authorized users must close this browser window and
any directory listings immediately.
By entering your
username and password, the web site/FTP user acknowledges that
Atlantic Express 4, Inc ("AE4")
has furnished or will furnish to the FTP/web site user
("USER") information such
as, but not limited to, photos, concept site plans and elevations,
construction plans, contracts and the like, that
is privileged and confidential ("Confidential
Information") relating to the personal and/or
business affairs of the property owner(s) ("PO")
and/or AE4 for study and evaluation by USER.
It is acknowledged
by USER that the information provided by AE4
is confidential, a work in progress and here provided in good
faith based on information provided by its consultants, governmental
agencies and third parties. AE4 reserves the
right to change the content of these files at any time without
prior notice. AE4 makes no warranties expressed
or implied of suitability or results and will not hold any liability
for its dissemination; therefore, USER agrees
not to disclose or disseminate it, other than as provided for
in the following paragraph.
It is acknowledged
by USER that information to be furnished is
in all respects confidential in nature, other than information
which is in the public domain through other means and that any
disclosure or use of same by USER, except as
provided in this agreement, may cause serious harm or damage
to AE4 and/or PO. Therefore,
USER agrees that USER will
not use the information furnished for any purpose other than
as stated above, and agrees that USER will
not either directly or indirectly by agent, employee, or representative,
disclose this information, either in whole or in part, to any
third party; provided, however that (a) information furnished
may be disclosed only to those directors, officers and employees
of USER and to USER's advisors
or their representatives who need such information for the purpose
of evaluating the work (it being understood that those directors,
officers, employees, brokers, realtors, advisors and representatives
shall be informed by USER of the confidential
nature of such information and shall be directed by USER
to treat such information confidentially), and (b) any disclosure
of information may be made to which AE4 consents
in writing.
